Terms of Service

These Terms of Service govern your use of the Global Honors, Inc. platform, products, and Services. By accessing or using our Service you agree to these Terms. 
 
All content of the website and database is owned, operated, and distributed by Global Honors, Inc, LLC, a California limited liability company (referred to in these terms and conditions as “us,”, “we”, “our”, etc.). Subscribers and potential subscribers are referred to as “licensee,” “subscriber,” “you,” or “client.” Global Honors information is referred to in these terms as “database,” “website,” “list,” “subscription,” and “license.” 

All Global Honors Award information is the property of Global Honors, Inc. If you do not agree to any of these terms, YOU SHOULD not use the SERVICE. These Terms of Service apply to all users, including potential subscribers, and users who have subscribed for Services.  

Eligibility 

You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Service.

Licenses

Each subscription is limited to the individual that is listed on the subscription/order. The Licensee agrees that this license and individual login is for use by the subscriber/licensee only and cannot be shared. Additional logins are required for additional users within the same company.  

As a licensee/user you agree that you will not:  

• allow access, copy or distribute any part of the Service in any medium to anyone including clients, other personnel within the company, or anyone else including associations, professional organizations, or Facebook groups. 
• modify any content of the database to resell or redistribute in any format;  
• access the Services in order to build a similar or competitive website, product, or Service;  
• allow additional users to utilize your account. Each client who needs access to the database and proprietary information must purchase a separate subscription.  
• sign in using a VPN (virtual private network). You agree to allow us to track IP addresses of all logins to prevent fraud.  

To access the Service, you will have to create a login account. When creating your login account, you represent and warrant to us that the information you provide is accurate and complete in all respects. All registrations must be made by you, personally.  

You agree to use an email where you can be reached and that if your email or contact information changes, you will contact us to update information. You agree that the lack of providing your correct contact information may result in missing out on future award updates and communications. Accounts registered by “bots” or other automated methods are not permitted under any circumstances. You may never use another’s login account and may not permit anyone else to use your login account.  

You agree that you will be solely responsible for all activity that occurs on your account, whether or not this activity is authorized by you. Accordingly, it is extremely important that you keep your password secure. You agree to notify us immediately if you become aware of, or suspect, any breach of security or unauthorized use of your account.  

Rules of Use

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction. We may, at our sole discretion, modify these Terms of Service at any time. By accessing or using the Service at any time after such modifications, you are agreeing to such modifications. These Terms of Service were last modified as of July 30, 2024. 

We reserve the right to refuse Service to any person for any reason, in our sole discretion and may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, without prior notice or liability. Upon termination the Terms will continue to apply to any ongoing obligations or rights. 

Subscription Sharing

Global Honors reserves the right to suspend accounts that are reselling or sharing information or accounts.  

• If a subscription is shared, it will be suspended pending investigation.  
• Sharing may result in permanent suspension of your subscription, and if that occurs, the subscriber will not be given a refund and may be barred from future use of the Service again. We reserve the right to protect our intellectual property and will not reinstate accounts unless appropriate fees are paid after the review of the non-users who had access to your subscription. It is your responsibility to keep your password secure and not stored on a company server that others have access to. 

Charges for Services

The fees for the Service will be charged to your credit card on the day you sign up. We do not provide refunds or credits for partial years of Service, no longer needing the Service, or not using the Service after the account was opened, or for any other reason. Your subscription will automatically renew annually unless you turn off auto-renewal prior to the renewal date, otherwise, you will be charged a full year. No refunds will be given past the renewal date. 

Third-Party Content

The Service contains links to third-party accounts and websites that are not owned or controlled by us. You acknowledge and agree that we have no control over such sites and resources, are not responsible for the availability of such sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, features, services, information or other materials on or available from such sites or resources, or any websites that they may link to (collectively, “third-party content”). We shall not be responsible or liable for any changes of third-party content or the absence of third-party content if removed by the third-party. 

Intellectual Property Rights

The Services, except for User Content and Third-Party Content, including award profiles, spreadsheet downloads, or any other content copied or downloaded from our site are protected by copyright as collective works or compilation under the copyright laws of the United States and other countries. All individual materials are also copyrighted works.  

All copyrights in the Services are owned by us or by our third-party licensors to the extent permitted under the United States Copyright Act and all international copyright laws. Unless expressly authorized by Global Honors in writing, you are prohibited from publishing, reproducing, distributing, entering into a database, displaying, performing, modifying, creating derivative works, transmitting, or in any way exploiting any part of the Services (including, without limitation, in connection with the training, development, or use of a machine learning and/or artificial intelligence model or tool). We reserve all rights not expressly granted in and to the Service and the Content.   

If you download or print a copy of any Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable, or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or the Content therein. 

Email Opt-In and Communication Preferences

By providing your email address and other contact information, you consent to receive communications from us relating to the Services, including promotional emails, newsletters, and other marketing materials. You can opt-out of receiving promotional emails at any time by following the unsubscribe instructions provided in the email communications or by updating your communication preferences in your account settings. Please note that even if you opt-out of promotional communications, we may still need to send you non-promotional emails relating to your account or the Services. 

We may also send you service-related announcements and updates concerning the Services when necessary or reasonable for their proper operation. These types of communications are considered part of the Services and you may not be able to opt-out from receiving them. 

You acknowledge and agree that we may share your contact information with third-party service providers to assist us in distributing our communications and providing the Services. However, we will not sell, trade, or share your contact information with any other third parties for their own promotional purposes without your explicit consent. 

Mobile Terms of Service 

The Global Honors mobile message service (the "Service") is operated by Global Honors (“Global Honors”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.
 
By consenting to Global Honors’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Global Honors through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. The service will include promotional messages such as promotions, specials, coupons, and other marketing offers; it will also include transactional messages such as order updates and account alerts. 

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Global Honors. Your participation in this program is completely voluntary.
 
We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.
You may opt-out of the Service at any time. Text the single keyword command STOP to +1-844-311-4874 or click the unsubscribe link (where available) in any text message to cancel.
 
You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Global Honors mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Privacy

Our collection, use, and disclosure of your personal information are governed by our Privacy Policy.  By using our Service, you consent to the collection, use and disclosure of our personal information as described in the Privacy Policy. 

Changes to Terms of Service 

We reserve the right to modify the Terms of Service at any time. Any changes will be effective immediately upon posting the updated policy on our website or through the Service. Your continued use of the Service after the effective date of the revised Terms of Service constitutes your acceptance of the updated terms.  

Indemnification

You agree to defend, indemnify and hold harmless us and our affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (vi) any action taken by a third party using your account or user ID. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide us with such cooperation as is reasonably requested by us. This obligation will survive these Terms of Service and your use of the Service. 

Governing Law and Forum 

This Agreement shall be governed by the laws of the United States and the State of California. By using the Services, you waive any claims that may arise under the laws of other states, countries, territories, or jurisdictions. Any dispute, claim or controversy arising out of or relating to the Services or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Orange County, California before one arbitrator. You irrevocably consent to the jurisdiction of, and venue, in, such courts and waive any objection that such courts are an inconvenient forum. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. In addition to any other discovery permitted under the Streamlined Arbitration Rules and Procedures, each Party shall be entitled to one (1) deposition, and such other additional discovery as the Parties agree. The arbitrator may, in the award, allocate all or part of the costs of the arbitration, including the fees of the arbitrator and the reasonable attorney’s fees of the prevailing Party, however, the arbitrator shall not be permitted to award punitive damages.  

Disclaimer of Warranties

The Services are provided “as is.” We do not warrant that the services will be uninterrupted or error-free. There may be delays, omissions, or Service interruptions. Global Honors makes no warranties or representations, express or implied (a) that the information provided through the Services will be free from error, omission, interruption, defect, or delay in operation, or from technical inaccuracies or typographical errors, (b) that the Services will be available at any particular time or location (c) that defects or errors in the Services will be corrected, or (d) that the content on the Services are free of viruses or other harmful components. Any information on the Services is subject to change without notice, and Global Honors disclaims all responsibility for the services. We reserve the right to correct any errors or omissions in the services.
